A regular reminder to technology startups to beware signing any sort of confidentiality agreement with larger (especially much larger) technology companies without consulting a lawyer first.
The latest version I've seen is something called a "Feedback Agreement" which starts out like a mutual NDA but then creates a huge carve out for "feedback" provided to the larger company which is defined very broadly and could very well include information the smaller company considers confidential. Sneaky.
